This code of Ethics was enacted by the International Business Brokers Association (IBBA) and is a part of the bylaws of the association. This code is for use by all members of the association as a means of establishing a uniform standard of conduct for business brokers.

The business broker should keep himself/herself informed as to trends affecting business opportunities.

The business broker shall make a reasonable effort to protect the public and all parties to a transaction against fraud, misrepresentation, or unethical practices in the area of business opportunities.

The business broker shall have a responsibility to recommend that clients use attorneys and tax accountants for independent advice on transactions.

OUR Selling PROCESS

1. DISCOVERY MEETING

In the initial discovery meeting, we hear your story and your value proposition. Through a series of questions, we will listen carefully to your individual goals and objectives. From this meeting, we will prepare a proposal outlining our marketing approach, determine a range for the most probable selling price, and our standard agreement terms.

2. EXECUTE AGREEMENT

A Marketing Services Agreement (MSA) is reviewed and signed giving us the right to exclusively market your business for a defined period, typically one year. Our fees and any deposit are clearly stated in this agreement.

3. DESIGN MARKETING PACKAGE

With the data provided, we generate an Executive Summary, or "Teaser" and a more detailed confidential information memorandum (CIM) that includes a comprehensive business profile and financial history for prospective buyers. We also begin the pre-due diligence process, gathering all of the relevant data we anticipate buyers will want to review during due diligence.

4. SCREEN PROSPECTIVE BUYERS

After a screening phone call, buyers of interest will sign a non-disclosure agreement (NDA) and complete a buyer profile.

5. MANAGEMENT MEETINGS

Interested buyers will want to have detailed discussions with you and when appropriate, key managers to full understand your business and its value to them.

6. NEGOTIATE OFFERS

We then review and evaluate any and all offers and help you decide which best achieves your goals.

7. REVIEW ALL OFFERS WITH OUR CLIENT

We have a fiduciary responsibility to present all offers in person and we are proactive in negotiating every aspect of the buyer’s offer.

8. DUE DILIGENCE PROCESS

After an offer has been accepted, we manage the due diligence process. This is a critical phase of the process and where we believe we add the most value.

9. PREPARE PURCHASE AGREEMENT & CLOSE

Working with the respective attorneys we negotiate on your behalf to prepare the final closing documents, and make sure all issues that arise during this final phase are successfully resolved.

Bob Latham

Founder, President

Robert Latham is the founder and President of Altapraem M&A Advisors. Prior to forming Altapraem, he was the Vice President and a top producing broker of the Houston office of Transworld Business Advisors, closing more deals than any other agent. Joining them in the first year of operations, he was a key contributor to their rapid growth over the next 8 years. With over 30 years of hands-on managerial experience and a uniquely broad range of skills, experiences and abilities, Bob has a rare perspective when working with clients to achieve their business objectives. His key attributes in deal-making are creative problem solving, attention to detail and follow-through.

Bob has worked in a wide spectrum of industries including heavy manufacturing, petrochemical equipment, aerospace and defense, construction, gas transmission, plastics and commercial real estate brokerage and investment. Positions held include Owner/Founder of a light construction company, President and COO of ATG Group, a plastics manufacturer, and VP of Business Development and Director of Operations for a petrochemical equipment manufacturer (ultimately acquired by Oceaneering). Bob has a BS in Civil Engineering from Texas A&M University and an MBA from Columbia University Business School in New York City. Demonstrating his commitment to excellence in his chosen profession, he is an active member of the International Business Brokers Association and The M&A Source and has also achieved the industry designations of Certified Business Intermediary and the more demanding M&A Master Intermediary. His interests include automobile restoration, cooking, and flying, including being a volunteer pilot for Angel Flight and he once sailed across the Atlantic.

Sonja W.

Analyst

Sonja recently joined our team and works with clients throughout the process, gathering needed information and preparing marketing materials. She has a BS in finance, been in the business brokerage and M&A industry for over 10 years, achieved the Certified Business Intermediary designation from the IBBA and is a licensed real estate agent in Colorado. Sonja is a volunteer board member of a local assisted living association.
